Senators Demand AG Pam Bondi Recuse Herself from Warner Bros. Antitrust Review

U.S. Senators Elizabeth Warren and Richard Blumenthal have called for Attorney General Pam Bondi to recuse herself from the Department of Justice’s antitrust review of potential Warner Bros. mergers, citing significant conflicts of interest stemming from her former lobbying firm’s representation of the bidding companies.

The demand comes amid a high-stakes bidding war for Warner Bros. Discovery, with both Netflix and Paramount Global vying for control. Warner Bros. Discovery CEO David Zaslav confirmed that regulatory reviews have begun, even as Paramount pursues a hostile takeover bid. This corporate battle has drawn intense scrutiny from lawmakers concerned about media consolidation and political influence.

At the heart of the controversy is Bondi’s previous employment at Ballard Partners, a lobbying firm that currently represents both Netflix and Paramount. Disclosure forms indicate that Ballard has been working with Paramount throughout the year and with Netflix since March. The senators argue that this creates an unavoidable conflict, as Bondi’s office would be overseeing a deal involving her former employer’s clients.

In a letter obtained by CNN, Warren and Blumenthal asserted that ‘the corruption concerns related to this deal extend to your office,’ referencing Ballard’s involvement. They highlighted that Ballard has been accused of inappropriately influencing Trump administration antitrust decisions, citing past cases where DOJ actions seemed aligned with the firm’s lobbying efforts. This has raised alarms about the integrity of the review process.

Bondi has defended her ethics, stating at an October hearing that she has ‘abided by every ethics standard.’ A DOJ spokesperson emphasized that all officials follow career ethics guidance. However, Ballard Partners dismissed the senators’ letter as ‘blindly partisan,’ insisting they have never communicated with Bondi about DOJ matters and represent clients with integrity.

The situation is further complicated by President Trump’s stated intention to be ‘involved’ in the decision, a departure from the traditional hands-off approach of past presidents. This has fueled fears that the review could be swayed by political favoritism rather than legal merits. Trump has previously suggested that CNN, owned by Warner Bros. Discovery, should be sold as part of any deal, adding to concerns about media independence.

Beyond the immediate recusal demand, the episode underscores broader issues with antitrust enforcement under the current administration. Warren has labeled the Netflix deal an ‘anti-monopoly nightmare’ and the Paramount bid a ‘five-alarm antitrust fire,’ warning that further consolidation could lead to higher prices and less variety for consumers. Lawmakers from both parties have expressed unease about the implications.

Looking ahead, the outcome of this review will not only determine the future of Warner Bros. Discovery but also test the credibility of the DOJ’s antitrust division. If Bondi does not recuse herself, it could lead to increased congressional oversight and potential legal challenges. The senators’ move is part of a larger pattern of efforts to ensure that corporate mergers are evaluated based on law, not political connections.
